NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Alun Hughes Griffiths, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 3 April 2012, that on 2 April 2012 in London he purchased 63 ordinary shares of 0.5 pence each in the Company at £7.28 per share following the reinvestment of dividends for shares held in an ISA. This equated to 0.00006% of the voting issued share capital.

Mr. Griffiths' total interest in shares following this notification is 34,069 ordinary shares, representing 0.034% of the voting issued share capital of WS Atkins plc.
