In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 18 February 2014 that on 17 February 2014 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £14.26 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
