NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Neil James Corfield Thomas, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 4 October 2011 that on 3 October 2011 in London he purchased 243 ordinary shares of 0.5 pence each in the Company at £5.414598 per share pursuant to the Company's Dividend Reinvestment Plan. This equated to 0.0002% of the voting issued share capital.

Mr. Thomas' total interest in shares following this notification is 6,799 ordinary shares, representing 0.0068% of the voting issued share capital of WS Atkins plc.
