Notification of Transactions by

Persons Discharging Managerial Responsibilities (PDMR)

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies that Andy Inglis, a Director, became entitled on 5 March 2012 to 20,952 ordinary shares of US$0.02 each in the Company (the "Shares") at nil cost, following the automatic vesting of approximately one third of the Shares awarded under the Petrofac Restricted Share Plan on 5 January 2011.

Mr Inglis now holds 10,035 Shares, having sold 10,917 Shares to satisfy his tax liability, representing 0.003 per cent of the total voting rights on the Company.

The Company's issued share capital consists of 345,870,233 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
