Petrofac Limited (the "Company")

Notification of Transactions by

Persons Discharging Managerial Responsibilities (PDMR)

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies that Tim Weller, a PDMR, was awarded 29,710 ordinary shares of US$0.02 each in the Company (the "Shares") under the Petrofac Restricted Share Plan (RSP) on 6 September 2011.

Subject to a number of limited exceptions, and provided Mr Weller does not leave the Company's employment, the Shares will vest on a one third annualized basis on each of the first, second and third anniversaries of the date of the award. The award was made at nil cost.

Following this award, Mr Weller's total holding in the Company amounts to 29,710 Shares, representing 0.0086 per cent of the total voting rights of the Company.

The Company's issued share capital consists of 345,821,729 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
