ATKINS SHARE INCENTIVE PLAN (the "Plan")
In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 18 February 2013 that on 15 February 2013 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £8.4550 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
