Directors' interests

The Company notifies that on 8 July 2015 the Trustees of James Cropper PLC Share Incentive Plan ("SIP") transferred ownership of 10,857 ordinary shares of 25p each ("Shares") in the Company to the participants of the SIP Scheme.

The Shares were awarded to the participants on 17 May 2010 at a price of 136.5p per share with the beneficial rights to participants recognised immediately upon award.

The SIP Trust holds the shares for a 5 year period from award and then transfers ownership to the participants.

The above transfer includes the following directors of the Company:

I M Maddock 29 Shares

M Thompson 51 Shares

P J Willink 88 Shares

The total interests of the Company's directors in Shares remain unchanged.
