CLS Holdings plc (the "Company") Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Person

The Company announces that it was notified:

1. on 7 May 2010 that the Sten Mortstedt family and charity trust (the

"Trust") established by Sten Mortstedt, Executive Chairman and Director of the Company, purchased 4,232 ordinary shares of 25 pence each in the Company ("Ordinary Shares") at a price of 471 pence per Ordinary Share on 7 May 2010. Following this transaction, Mr Mortstedt's interest in the number of Ordinary Shares, including those of which Mr Mortstedt is a beneficiary under the Trust, is 25,008,112 Ordinary Shares (52.95%).

2. on 7 May 2010 that Thomas Lundqvist, Vice Chairman and Director of the

Company purchased 5,000 Ordinary Shares at a price of 481 pence per Ordinary Share on 7 May 2010. Following this transaction, Mr Lundqvist's interest in the number of Ordinary Shares is 71,575 Ordinary Shares (0.15%). Enquiries:David FullerCompany SecretaryCLS Holdings plc
