On 29 July 2015, 3i Group plc (the "Company") was notified that on 29 July 2015 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 507,284 ordinary shares of 73 19/22p each in the Company ("Shares") on the release of a share award.

Also on 29 July 2015, 3i Group plc (the "Company") was notified that on 29 July 2015 Julia Wilson, a Director and person discharging managerial responsibilities, acquired for nil cost 230,583 ordinary shares of 73 19/22p each in the Company ("Shares") on the release of a share award and sold 108,665 of these shares at 546.01p per share to cover tax and National Insurance.

The place of the above transactions was the London Stock Exchange.
