Director/PDMR Shareholding

The Company was informed today of the following transactions relating to its Executive Directors and PDMRs:

1. Performance Share Plan 2024 - 2026 Award

On 2 June 2026, under the terms of the of the Helical plc Performance Share Plan 2024 (the "PSP"), the following share awards were made to the Executive Directors/PDMRs at the average of the closing mid-market prices for the five days to 1 June 2026 of 192.20p. These awards will vest in June 2029, depending on the extent to which the PSP's performance criteria are met.

Shares awarded to the Executive Directors and PDMRs were as follows:

No consideration was paid for the grant of the awards which have been structured as nil-cost options.

2. Annual Bonus Scheme 2018

In accordance with the Annual Bonus Scheme 2018, and in respect of annual bonuses for the year to 31 March 2026, deferred share awards over ordinary shares in Helical plc were made to Executive Directors on 2 June 2026 at the average of the closing mid-market prices for the five days to 1 June 2026 of 192.20p as follows:

No consideration was paid for the grant of the deferred share awards, which have been structured as nil-cost options. These deferred shares will be held by the Company and will vest after 2 June 2029.

3. Share Incentive Plan

On 2 June 2026, under the rules of the Helical plc Share Incentive Plan, Helical Bar Trustees Limited awarded ordinary shares to the Company's Executive Directors, PDMRs and employees at the closing mid-market price on 1 June 2026 of 191.00p.
