Pursuant to the rules of The 3i Group Discretionary Share Plan, on 29 June 2017 the following individuals, being Directors / persons discharging managerial responsibilities ("PDMR"s) of 3i Group plc (the "Company"), were granted awards over ordinary shares of 73 19/22p each ("Shares") (ISIN: GB00B1YW4409) in the Company as detailed against their names below:

The Performance Share Awards are subject to a performance condition.

The consideration for the grant of each of the awards detailed above was nil. The place of the transactions detailed above was London.

Each of the Directors/PDMRs above notified the Company of the changes in their interests on 29 June 2017.
