NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Ms. Sara Lipscombe-Notta person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 18 January 2013, that on that day in London she sold 1,000 ordinary shares of 0.5 pence each in the Company at a price of £7.7198 per share. The sale of 1,000 shares equated to 0.001% of the voting issued share capital.

Ms. Lipscombe-Nott's' total interest in shares following this notification is 5,666 ordinary shares, representing 0.006% of the voting issued share capital of WS Atkins plc.
