Notification of Transactions by

Persons Discharging Managerial Responsibilities (PDMR)

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies that Tim Weller, a Director, became entitled on 6 September 2012 to 10,133 ordinary shares of US$0.02 each in the Company (the "Shares") at nil cost, following the automatic vesting of approximately one third of the Shares awarded under the Petrofac Restricted Share Plan on 6 September 2011.

Mr Weller now holds a total of 28,181 Shares, representing 0.008 per cent of the total voting rights on the Company.

The Company's issued share capital consists of 345,891,490 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
