Notification of Transactions by

Persons Discharging Managerial Responsibilities (PDMR)

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, the Company hereby notifies that Tim Weller, a Director, became entitled on 6 September 2013 to 10,434 ordinary shares of US$0.02 each in the Company (the "Shares") at nil cost, following the automatic vesting of approximately one third of the Shares awarded on 6 September 2011under the Petrofac Restricted Share Plan.

Mr Weller now holds a total of 46,170 Shares, representing 0.013 per cent of the total voting rights on the Company.

The Company's issued share capital consists of 345,912,747 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
