Bowleven plc ("Bowleven" or the "Company")

Directors' Interests

The Company announces that on 9 June 2009, pursuant to a proposed placing of 106,000,000 new ordinary shares at a placing price of 67 pence each, the following Directors of Bowleven plc acquired an interest in shares to be allotted pursuant to the proposed placing:-

Kevin Hart, Chief Executive Officer of the Company, has agreed to subscribe for 200,000 ordinary shares in the Company at a price of 67p per share. Subject to the allotment of the placing shares on 26 June 2009, Kevin Hart's total shareholding in the Company will be 1,850,000 shares which at that time will represent approximately 0.95% of the then enlarged issued share capital of the Company.

Caroline Cook, Non Executive Director of the Company, has agreed to subscribe for 35,000 ordinary shares in the Company at a price of 67p per share. Subject to the allotment of the placing shares on 26 June 2009, Caroline Cook's total shareholding in the Company will be 135,000 shares which at that time will represent approximately 0.06% of the then enlarged issued share capital of the Company.

Tim Sullivan, Non Executive Director of the Company, has agreed to subscribe for 50,000 ordinary shares in the Company at a price of 67p per share. Subject to the allotment of the placing shares on 26 June 2009, Tim Sullivan's total shareholding in the Company will be 96,745 shares which at that time will represent approximately 0.05% of the then enlarged issued share capital of the Company.

The allotment of the Placing Shares is subject to the required shareholder approval to be sought at the Company's Extraordinary General Meeting being held on Friday 26 June 2009.
