Waterman Group PLC23 March 2005 Waterman Group plc ("the Company") Director Shareholding The Company was today informed that Waterman Trustees Limited, yesterdaypurchased 73,500 ordinary shares of 10p each in the Company ("Ordinary Shares")at a price of 105p per share. Following this purchase, Waterman Trustees Limitedholds 90,141 Ordinary Shares, representing approximately 0.3 per cent. of theissued ordinary share capital of the Company. The Company was also today informed by Waterman Trustees Limited that 7,500Ordinary Shares of the 73,500 Ordinary Shares referred to above were purchasedfrom Mr James A Austin, a director of the Company at 105p per share.
