Completion of Registration and Admission

CHINA PRIVATE EQUITY INVESTMENT HOLDINGS LTD

("CPE" or the "Company")

COMPLETION OF REGISTRATION AND ADMISSION

Further to the announcement earlier today, the Directors of CPE are pleased to announce that pursuant to the resolutions passed at the general meeting of the Company held today (which enable completion of the Acquisition) the requisite registrations have been duly effected by the Registrar of Corporate Affairs in the British Virgin Islands and accordingly the relevant resolutions passed at the General Meeting have taken effect. As a result, Admission is expected to take place at 8.00 a.m. on 19 February 2014.

On Admission,

1. the Acquisition Agreement will complete;

2. the Consideration Shares and the Consideration Warrants will be issued and allotted to Elypsis;

3. the Bonus Shares and the Shareholder Warrants will be issued and allotted to CPE Shareholders;

4. the Ordinary Shares will be marked "ex" entitlement to the Bonus Issue;

5. the Subscription Agreements for the issue of an aggregate 83,600,000 new Ordinary Shares at a price of US$0.06, raising US$5.02 million, will complete;

6. the Services Agreement between the Company and Adamas Global Alternative Investment Management Inc. ("Adamas GAIM") under which Adamas GAIM will become the Company's Investment Manager, will take effect; and

7. the Company's website for the purposes of Rule 26 of the AIM Rules for Companies will change to www.adamasfinance.com.

The certificate relating to the change of the Company's name to Adamas Finance Asia Limited has not yet been issued by the Registrar of Corporate Affairs in the British Virgin Islands. Until the certificate is issued, the Company will continue to trade under the name "China Private Equity Investment Holdings Limited" with the TIDM of "CPEH" and the ISIN of VGG215911055. A further announcement will be made when the certificate is received.

Terms defined in the announcement issued on 30 January 2014 have the same meaning in this announcement.
