3i Infrastructure plc (the "Company")

Expiry of Subscription Rights Attaching to Warrants and Cancellation of Warrant Listing

The Company refers to the London Stock Exchange traded (ISIN: JE00B1RJQ972) warrants of the Company (the "Warrants") issued pursuant to a deed poll dated 20 February 2007 (the "Warrant Instrument"). In accordance with the terms of the Warrant Instrument, the subscription rights attaching to the Warrants will lapse on 3.00 p.m. on Tuesday, 13 March 2012 and the Warrants will terminate and be of no further force and effecton that date.

The Company has today requested the Financial Services Authority to cancel its listing of the Warrants with effect from 8.00 am on Tuesday, 13 March 2012.

The Company has also today published the following notice to holders of the Warrants reminding them of the expiry of the subscription rights attaching to the Warrants http://www.rns-pdf.londonstockexchange.com/rns/3321X_-2012-2-13.pdf.
