("Crosby") 27 December 2007 On 27 December 2007, Crosby Asset Management (Holdings) Limited ("CAM"), awholly owned subsidiary of Crosby, acquired 2,105 shares of Crosby WealthManagement ("CWM"), representing 11.70% of CWM's issued share capital. Theacquisition increases CAM's holding from 44.44% to 56.14%. The shares wereacquired from Mr. Paul Giles at a price of US$400 per share, for totalconsideration of US$842,00. The total consideration for the shares wasdetermined after arm's length negotiations between CAM and Mr. Paul Giles. Theconsideration was based on US$400 per share, being a 20% discount to the priceper share paid by the third party investors in November 2004 when the initialcapital to fund CWM was raised.
