Voting Rights and Capital as at 31 March 2010.

This announcement is made in accordance with DTR 5.6.

As at 31 March 2010 Xchanging plc's issued share capital consisted of 239,382,559 ordinary shares of 5p each with voting rights.

Therefore the total number of voting rights in Xchanging plc is 239,382,559.

The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, Xchanging plc under the FSA's Disclosure and Transparency Rules.
