This notification is made in accordance with DTR 3.1.4.
On 23 May 2013, the following awards over ordinary shares in the Company were made under the Xchanging plc 2007 Performance Share Plan (the "Plan") to Persons Discharging Managerial Responsibility ("PDMRs"):
