PDMR Shareholding

Xchanging plc ('Xchanging'), the business process, procurement and technology services provider, announces that David Bauernfeind, a person discharging managerial responsibility, and certain connected persons (as described below) have carried out the following transactions in respect of ordinary shares of 5p in Xchanging:

a) purchase on 30 May 2014 by David Bauernfeind of 40,000 ordinary shares at a price of £1.46 per share;

b) purchase on 30 May 2014 by Nicolette Bauernfeind (spouse) of 1,318 ordinary shares at a price of £1.46 per share; and

c) purchase on 30 May 2014 by Ornella Bauernfeind (daughter) of 200 ordinary shares at a price of £1.46 per share,

such purchases together representing 0.017% of the issued share capital of Xchanging.

Further, and as notified to Xchanging today, 18 ordinary shares (representing 0.000007% of the issued share capital of Xchanging at today's date) were sold on behalf of Ornella Bauernfeind on 7 April 2014 at a price of £1.66 per share by her online broker. This transaction was effected automatically in order to cover charges due on the share dealing account.

Following these transactions, the total number of shares held by David Bauernfeind and connected persons has increased to 441,500 (of which 107,385 ordinary shares are held by connected persons), representing approximately 0.181% of the issued share capital of Xchanging.

The above transactions took place on the London Stock Exchange on the above dates and Xchanging was notified on 30 May 2014. This notification is made in accordance with DTR 3.1.4R(1)(a).
