Xchanging plc

PDMR Shareholding

Xchanging plc ('Xchanging'), the business process, procurement and technology services provider, was informed on 13 March 2015 of the following transactions by persons discharging managerial responsibility ('PDMR'), in relation to shares awarded previously under the Xchanging plc 2007 Performance Share Plan that vested on 12 March 2015 ('PSP Shares'):

a) David Bauernfeind

Following the vesting of 458,015 PSP Shares, Mr Bauernfeind sold 215,889 ordinary shares of 5p each (representing 0.087% of the issued share capital of Xchanging) at a price of 122.85p per share, to cover the tax and national insurance payable on the value of the vested shares.

b) Andrew Binns

Following the vesting of 305,343 PSP Shares, Mr Binns sold 143,954 ordinary shares of 5p each (representing 0.058% of the issued share capital of Xchanging) at a price of 122.85p per share, to cover the tax and national insurance payable on the value of the vested shares.

c) Ken Lever

Following the vesting of 725,190 PSP Shares, Mr Lever sold 341,776 ordinary shares of 5p each in Xchanging plc at a price of 122.85p per share, to cover the tax and national insurance payable on the value of the vested shares. He transferred the remaining 383,414 ordinary shares to his spouse, Denise Lever. The total transaction represents 0.294% of the issued share capital of Xchanging.

d) Jon Stratford

Following the vesting of 229,008 PSP Shares, Mr Stratford sold 107,986 ordinary shares of 5p each (representing 0.044% of the issued share capital of Xchanging) at a price of 122.85p per share, to cover the tax and national insurance payable on the value of the vested shares.

Following these transactions, the total number of ordinary shares held by each PDMR (and including those held by their connected persons) has increased to:

· 763,085 ordinary shares (approximately 0.309% of Xchanging's issued share capital) for Mr Bauernfeind;

· 161,389 ordinary shares (approximately 0.065% of Xchanging's issued share capital) for Mr Binns;

· 992,892 ordinary shares (approximately 0.402% of Xchanging's issued share capital) for Mr Lever; and

· 241,222 ordinary shares (approximately 0.098% of Xchanging's issued share capital) for Mr Stratford.

The above transactions took place on the London Stock Exchange on 12 March 2015. This notification is made in accordance with DTR 3.1.4R(1)(a).
