DIRECTOR DEALING

Waterman Group plc, the international engineering and environmental consultancy, announces that it was notified yesterday that on 5th May 2015 the trustee of the Company's HMRC approved share incentive plan, purchased 207 ordinary shares of 10 pence each ("Ordinary Shares") in the Company at a price of 72.3 pence each on behalf of Nick Taylor, Chief Executive Officer of the Company, using a deduction from his gross salary.

Following this transaction, Mr Taylor's beneficial shareholding in the Company has increased to 174,747 Ordinary Shares representing 0.57 per cent. of the issued ordinary share capital of the Company.
