In accordance with Rule 2.10 of the Code, Quindell confirms that it has 1,988,636,408 ordinary shares of 1p each in issue with the ISIN GB00B0R5TG60.

Quindell also confirms that there are an aggregate of 52,558,666 warrants over its shares, all exercisable at a price of 2.47p per share, of which a third expire on 28 April 2012, a third expire on 28 April 2013, and a third expire on 28 April 2014.
