UTV Media plc - Changes to the Board
At a board meeting of the board of directors (the "Board) of UTV Media plc ("UTV") earlier today, the Board voted to remove John B McGuckian as Chairman of UTV.
A majority of the members of the Board consisting of Roy Bailie, HelenKirkpatrick, John McCann, Scott Taunton and Norman McKeown considered that MrMcGuckian's close association with TVC, a major shareholder of UTV, hadcompromised his independence to such an extent that they no longer consideredit appropriate for him to continue as Chairman.
Shane Reihill, Kevin Lagan and John B McGuckian then resigned as directors of UTV with immediate effect.
Helen Kirkpatrick, an existing independent non-executive director of thecompany has agreed to become interim Chairman and will immediately start thesearch for a new independent non-executive Chairman as well as at least 2independent non-executive directors in order to ensure that in the future thecompany's affairs can be conducted in accordance with the UK CorporateGovernance Code and best practice for corporate governance.
