Shareholder Update

Directorate Change

The Board of WH Ireland has noted the release of the TR1s, earlier today, confirming a change of shareholdings in the Company.

Integrated Financial Services For Buying and Selling Securities W.L.L., the subsidiary of Kuwaiti European Holding Group ("KEH Group") which holds the KEH Group shares in WH Ireland has today transferred 6,525,079 Ordinary Shares in the Company for nil consideration, and accordingly now hold no Ordinary Shares in the Company.

At the same time Mr Abdulaziz Al-Bader has confirmed he has received 2,750,000 Ordinary Shares in the Company and accordingly now holds 2,750,000 Ordinary Shares representing 9.21% of the issued share capital; Mr Waleed Al-Thaqeb has confirmed he has received 1,220,000 Ordinary Shares in the Company and accordingly now holds 1,220,000 Ordinary Shares representing 4.09% of the issued share capital; and Mr Thamer Al-Wazzan has confirmed he has received 2,555,079 Ordinary Shares in the Company and accordingly now holds 2,555,079 Ordinary Shares representing 8.56% of the issued share capital.

As the KEH Group holding has now fallen to nil the Relationship Agreement announced on 28 November 2016 (the "Relationship Agreement") is no longer binding and ceases to apply to the Company. As a consequence of the termination of the Relationship Agreement, KEH Group no longer has a right to appoint a director to the board of the Company and accordingly Humphrey Percy has stepped down as a director of the Company with immediate effect.
