Victoria Oil & Gas PLC01 June 2005 1 June 2005 Victoria Oil & Gas plc Victoria Oil & Gas plc ("the Company") announces that following an allotment ofOrdinary Shares, it has allotted 105,399 Ordinary Shares of 0.5p each in theCompany to Mr William Kelleher, Director. The Ordinary Shares have beenallotted to Mr Kelleher who had requested Ordinary Shares in the Company (inlieu of cash salary) as part of the employee share compensation programme forthe period ended 31 January 2005. After this allotment Mr Kelleher's totalholding will be 3,960,798 Ordinary Shares representing approximately 4.83% ofthe enlarged issued ordinary share capital. These shares rank pari passu in all respects with the existing issued OrdinaryShares in the Company. Application has been made to the London Stock Exchangefor these shares to be quoted on AIM and it is expected that dealings willcommence on Monday 6 June 2005.
