PUBLICATION OF COMBINED CIRCULAR AND PROSPECTUS
Further to the announcement today by Vernalis plc (LSE: VER) of the fully underwritten Placing and Open Offer of 799,112,129 New Ordinary Shares at 3 pence per share (subject to the effect of the Share Capital Reorganisation) raising £22.1m (net), the related party transaction and a waiver of the obligations under Rule 9 of the Takeover Code (all of which remain subject to approval by shareholders at a General Meeting), Vernalis today announces that a Combined Circular and Prospectus in relation to the Placing and Open Offer (subject to the share capital reorganisation), related party transaction and waiver of obligations under Rule 9 of the Takeover Code (the "Circular") has been published and will be posted to shareholders shortly.
The Circular is now available for inspection at the UK Listing Authority's Document Viewing Facility, situated at The Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS and at the offices of Morrison & Foerster (UK) LLP, CityPoint, One Ropemaker Street, London EC2Y 9AW during normal business hours on any weekdays (Saturdays, Sundays and public holidays excepted).
The Circular is also available on the Investor Centre page of the Company's website at www.vernalis.com.
