("the Company")
The Company today announces that it has entered in to a written and legally binding Relationship Agreement with the following parties with immediate effect (together the "Controlling Shareholders").

The Controlling Shareholders have an aggregate shareholding in excess of 50 per cent. of the issued share capital of the Company.
The purpose of the Relationship Agreement is to formally ensure compliance with the independence provisions set out in LR 6.1.4D. In this light, the Company will seek the approval of the independent shareholders at the forthcoming AGM in respect of the resolutions relating to the re-election of independent directors.
The Company is and will continue to be fully committed to meeting all of its obligations as a premium listed company on the London Stock Exchange.
