("ThinkSmart" or the "Company" and together with its subsidiaries the "Group")
PDMR Shareholding Notification
ThinkSmart (AIM: TSL) announces that it has today allotted 500,000 ordinary shares of no par value each in the Company ("Ordinary Shares") to Mr. Ned Montarello, Executive Chairman of ThinkSmart (the "Share Award"). The Share Award relates to an additional remuneration package approved by the Board's remuneration committee, for Mr. Montarello's additional work leading the Company during the interim period, until a replacement Chief Executive Officer is appointed and joins the Group.
Application has also been made today for the 500,000 new Ordinary Shares to be admitted to trading on AIM of the London Stock Exchange. It is expected that admission of the new Ordinary Shares will take place at or around 8:00am on 15 March 2018.
Post the admission of the new Ordinary Shares, Mr. Montarello's total shareholding will comprise of 29,561,0361 Ordinary Shares, representing 28.23%1 of the Company's issued share capital of 104,728,744 Ordinary Shares. The Company holds no shares in Treasury. Therefore, the total number of voting rights in the Group will be 104,728,744.
This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Group under the FCA's Disclosure Guidance and Transparency Rules.
The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.
