Tarsus Group plc28 July 2009 Tarsus Group plc ("Tarsus or "the Company") Completion of Acquisition of CapRegen plc/Issue of Equity

Tarsus Group plc is pleased to announce that all of the conditions pursuant to the recommended acquisition of CapRegen plc (the "Acquisition") have been satisfied and the Acquisition has therefore been completed.

On 27 July 2009 the Board of Tarsus issued and allotted 3,062,885 new ordinary shares of 5p each of the Company ("Ordinary Shares") to the holders (as at 6pm on 20 July 2009) of ordinary shares of 1p each of CapRegen plc in connection with the Acquisition on the basis of 1 new Tarsus Ordinary Share for every 24 CapRegen ordinary shares held by each CapRegen shareholder. Application has today been made for the 3,062,885 new Ordinary Shares of Tarsus to be admitted to the Official List and to trading on the London Stock Exchange. Admission is expected to take place and dealings in the new Ordinary Shares are expected to commence at 8.00 am on Monday 3 August 2009. Latest date for despatch of the new share certificates is Thursday 6 August 2009.

Following the issue of new Ordinary Shares, the issued share capital of Tarsus is 68,352,479, which figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

Under the terms of the transaction each of Neville Buch and Douglas Emslie exchanged their respective holdings of 2,000,000 ordinary shares of CapRegen plc for 83,333 new Ordinary Shares of Tarsus respectively. Thus following the transaction the total interest of Neville Buch in the revised issued share capital of Tarsus (excluding the interests of his adult children) is 8,867,046 Ordinary Shares representing 12.97% of the new issued share capital and the total interest of Douglas Emslie in the share capital of Tarsus is 884,765 Ordinary Shares representing 1.29% of the revised issued share capital of the Company.
