Acquisition of IFO and Total Voting Rights

Further to the announcement made on 6 June 2011 regarding the resolutions approved at the Extraordinary General Meeting, Tarsus Group is pleased to announce the completion of the acquisition of IFO and pursuant to the Placing the admission of 11,347,517 new Ordinary Shares to the Official List of the UK Listing Authority and to trading on the main market of the London Stock Exchange.

Subsequent to the Admission, the total number of Ordinary Shares of the Company in issue as at the date of this announcement is 86,820,141 with each Ordinary Share carrying the right to one vote. There are no Ordinary Shares held in Treasury. The total number of voting rights in the Company is, therefore, 86,820,141.

The above figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Tarsus Group, under the FSA's Disclosure and Transparency Rules.
