Exercise of Options

Torotrak (LSE: TRK) announces that it was today notified that two of the Company's directors, Dick Elsy, Chief Executive and Jeremy Deering, Finance and Commercial Director, yesterday exercised options over 401,636 ordinary shares and 312,963 ordinary shares respectively under the Company's Long Term Performance Share Plan ("LTPSP") . The shares have been issued and allotted out of the Company's existing block listing.

Furthermore, both Mr Elsy and Mr Deering notified the Company that yesterday they sold 336,838 ordinary shares and 259,971 ordinary shares respectively in the Company, at a price of 43 pence per share, mainly to satisfy their tax obligations under the LTPSP plan (including the Company's National Insurance liability).

As a result of the above mentioned share dealings, Dick Elsy's total beneficial holding increased from 709,002 ordinary shares to 773,800 ordinary shares in the Company representing 0.47 per cent of the current issued share capital. Jeremy Deering's total beneficial holding increased from 381,216 ordinary shares to 434,208 ordinary shares in the Company representing 0.27 per cent of the current issued share capital.

Following the share options being exercised by the above mentioned directors as well as other share options being exercised by certain other employees of the Company under the LTPSP plan, a total of 1,224,287 ordinary shares have been allotted out of the Company's block listing and will be admitted to trading. Following the admission to trading the Company will have 163,763,133 ordinary shares in issue.
