Director Shareholding

Tricor has been advised that on 27 February 2014, Nova Resources Limited ("Nova"), an AIM quoted company of which Chan Fook Meng and Chris Morgan (both of whom are directors of Tricor and Nova) are interested in approximately 31.3% and 1.6% respectively, has acquired warrants over 34,000,000 ordinary shares in Tricor. The warrants were acquired by Nova from Consiliou Growth Fund SPC and Upside Management (Offshore) SAL for £2,000,000 (approximately 5.88p per warrant). The warrants are exercisable at 0.5p per share until 31 December 2017.

Following this purchase, Mr Chan has a total indirect beneficial interest in 75,188 ordinary shares in Tricor, representing 0.06% of Tricor's total issued share capital, and following this acquisition of warrants by Nova, has an interest in warrants (and options over warrants) to acquire a further 98,000,000 ordinary shares in Tricor (including 43,000,000 warrants held by Nova). Mr Chan is also entitled to further ordinary shares in Tricor under the Company Voluntary Arrangement ("CVA") (as announced on 10 January 2013), which was expected to be approximately 3,959,700 ordinary shares (assuming all creditors make a valid claim), although this amount may vary depending on final claims and allocations under the CVA. Such CVA shares are expected to be determined and distributed upon completion of the CVA within the next few months.
