Director Shareholding

Notification under AIM Rule 17

13 May 2014

The circular to Terrace Hill shareholders dated 28 April 2014 relating to the acquisition of Urban & Civic S.a.r.l. stated that Robert Adair intended to transfer prior to Admission 47,019,908 (unconsolidated) ordinary shares of 2p each in the Company ("Shares") currently held by his related trusts into his own name.

On 12 May 2014 the trustees of the RFM Adair 1984 Life Interest Trust, RFM Adair 1994 Life Interest Trust and RFM Adair Appointed Life Interest Trust transferred respectively 13,746,190, 10,140,322 and 23,133,396 Shares (a total of 47,019,908 Shares) to Robert Adair at a price of 26.5p per Share. These shares remain charged to Lloyds Bank.

Following these transactions, Robert Adair's total beneficial interest in 133,266,239 Shares, representing 62.87% of the total issued share capital of the Company, is unchanged.
