Directorate change and Placing

London, 31 October 2014 - Touchstone, the AIM listed investment company, announces several developments affecting the future operations of the Company. These developments will assist the Company in implementing its investing strategy approved by shareholders in June 2014.

Change of Director

Touchstone is pleased to announce the appointment of Professor Arthur Gibson as an independent non-executive Director of the Company with immediate effect.

Professor Arthur Gibson will provide the Board with the expertise to evaluate a number of specialist aspects when analysing investment opportunities in accordance with the Company's investing strategy. Further details about Professor Gibson are noted below.

Professor Gibson's appointment is the latest step in a distinguished career spanning more than three decades, during which he has developed numerous notable specialised research projects. Professor Gibson is a Senior Researcher for the Centre of Mathematical Sciences at the University of Cambridge and was previously professor of Philosophy at the University of Roehampton. Arthur was a member of the Jodrell Bank Radio-Astronomy laboratories' research colloquia and was founding Chair of the European Maritime Security Council. Arthur has been called on to advise on national and international issues by the House of Lords as well as various other governments and multinational corporations. Professor Gibson served as the Lauterpacht International Law Centre Visiting Fellow in the Cambridge Faculty of Law.

The Company would like to clarify it has no intention of a transaction involving Cambridge Quantum Computing Limited for which company Arthur Gibson is Special Advisor to the Board. The Company continues to evaluate opportunities in a number of sectors including the applications of quantum computing technologies.

Chief Operating Officer, Franz Forrester, commented: "Professor Gibson brings to Touchstone his many years of invaluable experience. His deep knowledge and extensive expertise and originality will be a tremendous asset as we continue to drive forward the development of Touchstone."

Following the changes, the Board of Directors will comprise Franz Forrester, Shahed Mahmood, Charles Goodfellow and Professor Arthur Gibson.

Placing and use of proceeds

The Company today announces that it has raised through its broker Peterhouse Corporate Finance a total of £300,000 (before expenses) via the issue of 78,947,368  common shares of no par value at 0.38p (the "Placing Shares").

The Placing Shares will rank pari passu with the existing common shares of no par value in the Company. Application will be made for admission of the Placing Shares to trading on AIM which is expected to occur prior to 10 November 2014.

Following Admission, the Company will have 480,982,800 common shares in issue ("Issued Share Capital"). This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Issued Share Capital of the Company in accordance with the Company's by-laws.

The proceeds of the placing will be used to provide the Company with further working capital in order to execute the Company's investing strategy.
