Change in Director's Holding
On 1 November 2012, Touchstone Gold Limited ("Touchstone" or "the Company") announced that Ilyas Khan, a director of the Company, had a total interest in the Company of 26,529,876 shares which included 3,154,876 shares ("the Trustee Shares") held on a trustee basis for the benefit of the original owners of the tenements and licenses of Touchstone's predecessor company and consultants prior to the Company's admission to AIM, not including Ilyas Khan ("the Trustees"). The Trustee Shares were held in the name of ECK Partners Holdings Limited ("ECK"), a company of which Ilyas Khan is the 95% beneficial owner.
Touchstone was notified on 14 January 2013 that, on the same day, ECK transferred for nil consideration all 3,154,876 Trustee Shares into the direct legal ownership of the Trustees. Touchstone was also notified on the same day that the arrangements regarding the Trustee Shares were terminated and, as a result, Ilyas Khan no longer holds any Trustee Shares.
There having been no further changes to Ilyas Khan's interest in shares, Ilyas Khan remains beneficially interested in 23,375,000 shares representing 11.61% of the current issued share capital of the Company. Of Ilyas Khan's beneficial interest, 375,000 shares are held by ECK and 23,000,000 shares are held by Pennine Capital Limited, a company of which Ilyas Khan is the sole beneficial owner. Ilyas Khan holds no shares in his own name.
The shares referred to above are Touchstone's common shares and the total number of shares in issue is 201,329,267 with each common share carrying the right to one vote. There are no shares held in treasury.
