AGM Update

As previously announced, Ten Lifestyle Group Plc's Annual General Meeting (AGM) will be held at 11.00 a.m. on Thursday 4 February 2021.

Given the current situation in relation to COVID-19 and Government guidance, it is no-longer deemed appropriate for the small number of director shareholders to attend the Group's offices to satisfy the minimum quorum requirements, as previously announced. The health and wellbeing of the Group's shareholders and employees are of utmost importance to the Board.

The Group shall therefore be relying on paragraph 3 of Schedule 14 of Corporate Insolvency and Governance Act 2020 (CIGA) to hold the meeting remotely with a small number of director shareholders in attendance.

Other shareholders will still not be permitted to vote at the remote meeting and are encouraged to submit a form of proxy ("Form of Proxy") no later than 11.00 a.m. on Tuesday 2 February 2021. Details of how to appoint a proxy are set out in the Notice of AGM, available on the Group's website: www.tenlifestylegroup.com/investors/resources/.

To encourage engagement, shareholders are now invited to register to listen to and/or watch the remote meeting by emailing Investorrelations@tengroup.com by 11:00 a.m. on Tuesday 2 February 2021.

The formal business of the AGM will be still be held as a closed meeting so shareholders with specific questions relating to the resolutions should still email the question to Investorrelations@tengroup.com no later than 11:00 a.m. on Tuesday 2 February 2021. Answers to the questions will be published on the Group's website (www.tenlifestylegroup.com/investors/), and where possible, the Chairman will give a brief answer at the meeting.

Immediately after the formal business of the AGM, the Group's CEO will present a brief review of the year to 31 August 2020, followed by a Question & Answer session.
