Pre-IPO Shareholders Increase Holdings in TCS Group Holding PLC
Moscow, Russia - 4 July 2014. TCS Group Holding PLC (TCS LI) (the "Group"), Russia's leading provider of online retail financial services, including "Tinkoff Credit Systems" Bank and Tinkoff Online Insurance, today announces that Altruco Trustees Limited ("Altruco") and Tadek Holding & Finance S.A. ("Tadek"), both pre-IPO shareholders, have increased their holdings in the Group, which is the first stage of planned share purchases announced on 11 June 2014.
Altruco, a company acting as trustee to the Group's ESOP (an employee share ownership plan for the Group's key managers) has increased its holding in the Group such that its total interest now amounts to 2.02% of the Group's issued share capital. The increase in Altruco's holding is made as follows:
· On 27 June 2014, members of the ESOP, acting individually with Altruco as trustee, purchased in aggregate 67,858 global depositary receipts ("GDRs") with one global depositary receipt representing an interest in one Class A share, which corresponds to 0.04% of the Group's issued share capital.
· On 30 June 2014, Altruco subscribed for 1,449,750 new Class A shares, paying the nominal value of US$0.04 per share. These shares represent the third and final tranche of the ESOP's entitlement under the resolutions of shareholders of the Group dated May 2011. Following this increase, Altruco has brought its holding for the ESOP to 1.98% of the entire issued share capital of the Group (or 3,618,636 Class A shares) from 1.2% it held after the IPO in October 2013.
Separately, Tadek, a company wholly-owned by the Group's chairman and controlling shareholder Oleg Tinkov, has increased its beneficial interest in the Group by purchasing 461,952 GDRs representing 0.25% of the Group's issued share capital on or around 23 June 2014. In addition to that, Tadek owns 92,144,603 Class B shares representing 50.45% of the entire issued share capital of the Group (after the issue of 1,449,750 Class A Shares to Altruco Trustees Limited on 30 June 2014).
