Notification of transactions by Persons Discharging Managerial Responsibilities
Tate & Lyle PLC (the 'Company') announces that on 6 June 2023 the following transactions occurred by Persons Discharging Managerial Responsibilities ('PDMR') in respect of their interests in ordinary shares of 29 1/6 pence each in the capital of the Company ('Shares') under the Tate & Lyle Group Bonus Plan ('GBP') and the 2020 Performance Share Plan ('PSP').
Following the withholding of Shares to satisfy certain tax obligations arising on the release of Shares, PDMR interests in Shares changed as detailed in the table below:

For tax purposes, the market value of the Shares was 795 pence per Share. No consideration was paid for the acquisition of these Shares.
Awards made under the GBP in 2021 were subject to the satisfaction of employment conditions. Details of the operation of the GBP are contained within the Annual Report 2021.
Awards made under the PSP in 2020 are subject to the satisfaction of performance conditions over a three-year performance period, which in this case ran from 1 April 2020 to 31 March 2023. The PSP award acquired by Mr. Hampton is subject to a further two-year post-vesting holding period.
Mr. Adams subsequently sold 40,055 Shares on 6 June 2023, at a sale price of 788.5 pence per Share. Mr. Adams continues to comply with the Executive Shareholding Policy of three times base salary.
Ms. Allen's Shares were acquired in connection with an appointment award, announced on 9 February 2022. These Shares are not subject to a two-year post-vesting holding period.
The notifications below, which have been made in accordance with the requirements of the UK Market Abuse Regulation, provide further detail.
