Issue of Equity and Total Voting Rights

Sureserve Group plc (AIM: SUR), the social housing energy services Group, announces, further to the announcement of its acquisition of CorEnergy Limited ("CorEnergy") dated 8 December 2021 (the "Acquisition Announcement"), that it has issued and allotted 422,932 new ordinary shares of 10p each in Sureserve (the "Deferred Consideration Shares") to the vendors of CorEnergy Limited in satisfaction of the share-based element of the deferred consideration for the acquisition. As noted in Acquisition Announcement, further deferred consideration may be due, split equally between cash and shares, depending on CorEnergy's full year results to 31 December 2021. Accordingly, following the finalisation of CorEnergy's full year results, deferred consideration of £756,202 will be satisfied by way of the payment of £378,101 in cash and the issue of the 422,932 Deferred Consideration Shares at the agreed issue price of 89.4p per share stated in the Acquisition Announcement.

Admission and total voting rights

Application for admission of the Deferred Consideration Shares to trading on AIM has been made and dealings in the Deferred Consideration Shares are expected to commence at 8.00 a.m. on 25 March 2022 ("Admission"). The Deferred Consideration Shares will rank pari-passu with the Company's existing issued ordinary shares.

Following Admission, the total number of ordinary shares in issue will be 165,063,751. The Company does not hold any ordinary shares in treasury. This figure of 165,063,751 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
