Exercise of options and transfer of shares

Stobart announces that it has made application for the admission to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission") for 750,000 ordinary shares of 10 pence each in the capital of the Company. These are to be issued following the exercise of nil cost options. It is expected that Admission of these ordinary shares will become effective on 28 December 2012.
In accordance with DTR 5.6.1, the Company announces that following Admission of the ordinary shares of the Company referred to above, the Company's issued share capital (excluding treasury shares) will consist of 347,267,581 ordinary shares of 10 pence each with voting rights. The Company currently holds 6,693,291 ordinary shares in treasury. Therefore, the total number of voting rights in the Company will be 347,267,581. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
The Company also announces that Andrew Tinkler, Chief Executive Officer, has applied for a transfer of shares to certain members of his family, expected to be completed today. 40,000 shares have been transferred to his son, Adam Tinkler, 45,256 shares to his daughter, Laura Tinkler and 40,000 shares to his partner, Alison Schmutz. Following this transfer, Andrew remains interested in 28,354,503 ordinary shares of 10 pence each.
