Satisfaction of Deferred Consideration and

Total Voting Rights

1Spatial, a global leader in Location Master Data Management ("LMDM") software and solutions, announces that it has allotted an aggregate of 57,685 ordinary shares of 10 pence each ("Ordinary Shares") (valued at approximately £28,000) to vendors of Geomap-Imagis Participations as satisfaction of the final element of deferred consideration pursuant to the terms of the acquisition announced on 8 May 2019. There is no further deferred consideration payable in either cash or shares to any former shareholders of previously acquired companies.

The 57,685 Ordinary Shares have been issued from treasury. Following this allotment the Company's issued share capital consists of 110,859,545 Ordinary Shares, of which 89,399 are held in treasury.

Therefore, the figure of 110,770,146 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the Disclosure Guidance and Transparency Rules.
