Z Group PLC07 January 2008 Z GROUP PLC 07 January 2008 Z GROUP plc ("Z GROUP" or the "Company") Result of EGM and Directorate Changes The Board of Z GROUP is pleased to announce that at the general meeting of theCompany held today at 11 a.m. at the offices of Beachcroft LLP, 100 Fetter Lane,London EC4A 1BN, the resolutions outlined in the circular to shareholders dated21 December 2007 (the "Circular") were duly passed. The results of the proxy voting on the resolutions put to the shareholders atthe general meeting were 11,755,315 of the issued shares for and 0 against,representing 49.51% of the issued share capital. As a result of this approval, completion of the disposal of CallPal Limited,Net2Roam Limited, Onshare Limited and Turbodial Limited, which comprisesubstantially all of the trading assets of the Company, to Jack Bekhor and JamesTrue, who are currently joint chief executive officers and directors of theCompany, took place at 12.45 p.m. on 7 January 2008 and the Company became aninvestment company under the AIM Rules and will implement the investing strategyset out in the Circular. Following the EGM, John Standen, Polly Williams and Jonathan Slater resigned as directors of the Company.
