The Board of Directors of Societatea Nationala de Gaze Naturale "ROMGAZ" - S.A joined in the meeting on September 18, 2020 at 11:00 am (Romania time) at S.N.G.N. ROMGAZ S.A. working point located in Bucharest, District 1, 59 Grigore Alexandrescu Street, 5th floor, issues the following:

R E S O L U T I O N:

Whereas:

· paper no.28869/15.09.2020 proposing to establish a branch at Drobeta Turnu Severin;

· the necessity to develop the company's activity, including, but without limitation to, the natural gas supply activity to the end customer also in other areas than those covered today by the current work locations and branches;

· the necessity to efficiently manage S.N.G.N. ROMGAZ S.A. participation in development and supply projects regulated by the memorandum mentioned in paper np. 28869/15.09.2020;

the Board of Directors approves:

1) to establish the branch Drobeta-Turnu Severin within S.N.G.N. ROMGAZ S.A.;

2) to establish and register with the Trade Register Office a work location with the following identification data:
