("SMS" or the "Company")
Posting of Circular and Notice of General Meeting
The Company confirms that, further to the announcements of 24 November 2017, copies of the Circular (incorporating the Notice of General Meeting) together with the Form of Proxy, have been sent to eligible Shareholders today.
The Circular and Notice of General Meeting will shortly be available on the Company's website at www.sms-plc.com.
The General Meeting will be held at 9.00 a.m. on 20 December 2017 at the offices of CMS Cameron McKenna Nabarro Olswang LLP at 1 West Regent Street, Glasgow G2 1AP for the purpose of passing certain Resolutions in relation to the proposed Placing.
The Company has received irrevocable undertakings from Miriam Greenwood, Graeme Bissett, Karen MacDiarmid and Alan Foy to vote in favour of the Resolutions in respect of their respective entire holdings of existing Ordinary Shares representing, in aggregate, approximately 7.9 per cent. of the existing Ordinary Shares.
The expected timetable set out in the Company's initial announcement of 24 November 2017 remains unchanged.
