Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons
In accordance with DTR 3.1.4R (1), St. Modwen Properties PLC announces that on 17th February 2015 the executive directors of the Company exercised awards over ordinary shares of 10 pence each granted under the Company's 2007 Executive Share Option Scheme Approved Addendum ("Approved ESOS"), 2007 Performance Share Plan ("PSP") and 1997 Executive Share Option Scheme ("ESOS") and have increased their shareholdings in the Company as set out below.
Approved ESOS
The exercised Approved ESOS awards were granted on 17th February 2012 in conjunction with the 2012 PSP awards and comprised in each case an option over 19,769 shares with an exercise price of £1.5175 per share. The awards vested and became capable of exercise on 17th February 2015 following the achievement in full of the performance conditions measured over a three year period which ended on 30th November 2014.
PSP
The exercised PSP awards were granted on 17th February 2012 and were structured as nil-cost options. The awards vested and became capable of exercise on 17th February 2015 following the achievement in full of the performance conditions measured over a three year period which ended on 30th November 2014. In accordance with the rules of the PSP, executive directors received an additional number of shares equal to the dividends paid between the date of grant and the date of exercise on the number of shares which vested. The value delivered by the PSP awards was scaled back by the value delivered by the 2012 Approved ESOS awards.
ESOS
The exercised ESOS awards were granted on 15th August 2005 and had an exercise price of £3.7522 per share. The awards vested and became capable of exercise on 15th August 2008 following the achievement in full of the performance conditions measured over a three year period which ended on 30th November 2007.
As a result of the above transactions, the interests of the executive directors and their connected persons in the Company's ordinary shares have been increased as follows:
