Report and Accounts The Directors are pleased to announce that the Company has now finalised itsReport and Accounts for the year ending 30 September 2005 and a copy of thisdocument has been filed with Companies House and that two copies of thisdocument will be filed with the UK Listing Authority and will be available forinspection shortly at the UK Listing Authority's Document Viewing Facility whichis situated at 25, The North Colonnade, Canary Wharf, London E14 5HS. Copies ofthe report and accounts will be sent to shareholders in due course. As set out in the preliminary announcement on 27 January 2006 the Directorsexpected the Group's auditors to issue an adverse opinion on the Group'sconsolidated accounts, which they have now done. Full details of the auditqualification are set out in the Report and Accounts which are available as setout above and are also available from the Group's website. The prospectus for the proposed Placing and Open Offer, formally announced on 3February 2006, is in the process of being completed and whilst there are anumber of elements that need to be finalised prior to its approval by the UKListing Authority the Directors are hoping that these can be completed in thenear future. Consequently each of Evolution Securities Limited, Bank of Scotlandand the holder of the Convertible Loan Notes has agreed to extend the date forposting of a prospectus until 21 February 2006 and to amend certain other datesaccordingly.
