FUNDING CIRCLE SME INCOME FUND LIMITED

TOTAL VOTING RIGHTS

Funding Circle SME Income Fund Limited (the "Company") previously announced the issue of 14,285,000 Ordinary Shares of no par value, following the successful Placing on 20 July 2016. 

Such Ordinary Shares were admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities on 25 July 2016.

As at 31 July 2016, the Company's issued share capital therefore comprised 164,285,000 Ordinary Shares. Accordingly, as at 31 July 2016, the total number of voting rights in the Company was 164,285,000.

This figure of 164,285,000 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in the Company under the FCA's Disclosure and Transparency Rules.

The Company is a registered closed-ended collective investment scheme registered pursuant to the Protection of Investors (Bailiwick of Guernsey) Law, 1987, as amended and the Registered Collective Investment Scheme Rules 2015 issued by the Guernsey Financial Services Commission (''GFSC'').

The Company's investment objective is to provide shareholders with a sustainable and attractive level of dividend income, primarily by way of investment in Credit Assets as defined in the Company's Prospectus.
